  A virtual internship provided by Latham & Watkins LLP and InsideSherpa focusing specifically on Mergers and Acquisitions. Modules included: Kicking-off the transaction, Reviewing the customer agreement, Offering Shareholder advice and Negotiating the transaction. Throughout the online internship I revised an NDA regarding a merger between two pharmaceutical companies, preparing my client's negotiating position on key drafting changes and ensuring that the newly stated terms revised by the other party were acceptable to move forwards with. I then used AI in the due diligence process to analyse three key customer contracts and consider their implication on the drafting of the Merger Agreement for Project Reno.The third module comprised of giving urgent advice to the client's board regarding the emergence of a new bidder in the transaction, improving on my communication and client-facing skills as I had to leave a voice mail reassuring the share holders that the company would remain intact and the deal would be successfully negotiated. Lastly I prepared a presentation to the board members summarising the key mechanics of the earn-out provisions as contained in the Sale & Purchase Agreement we had visited earlier. Show less

  Specialising in Corporate and Regulatory GovernanceUsed Smart Search to conduct Conflict Checks to identify legal and commercial conflicts of interest. This meant performing searches utilizing internal and external client data sources and ensuring these were accurate. This provided AML and PEP Protections. This role also allowed me to understand the wider risk and conflict issues, and if a conflict was identified I was given the task to turn down clients. This meant communicating efficiently to partners and other members of staff within the business regarding conflict checks. Complaints Adjudication - Investigating and resolving, fairly and impartially, FCA regulated complaints from consumers in line with FCA rules and regulations. I had to liase with all parties to collate information to help in the investigation of the complaint, and communicate persuasively in writing my findings.
