Negotiation and finalization of several HOAs and LNG transshipment services agreements with some LNG terminal operators in Europe to allow delivery to Asian buyers during winter time; and c. Negotiation of an intercompany LNG sales agreement for the sales of LNG by the operating company to its wholly-owned marketing entity.2. Shah Deniz Phase 2 (Azerbaijan): advising on all aspects of the commercialization of 16 billion cubic meters per annum of gas in the phase 2 development of the Shah Deniz gas condensate field: a. Negotiation and finalization of several gas sales and purchase agreements with several European buyers; b. Negotiation and finalization of several gas transportation agreements and network codes with some pipeline operators in Europe for the construction of new gas pipelines in Europe to allow gas deliveries to European buyers; and c. Negotiation and finalization of the marketing structure and the corporate documents of the marketing entity of the project, such as its articles of association, shareholders agreement, board approvals, and a cross indemnity and guarantees agreement.3. Merger & Acquisition - Power: structuring and managing a divestment of interest in a power plant, including in the selection of external counsel and financial advisor being engaged, in the preparation of the data room and in the drafting of the drafts confidentiality agreement and sales and purchase agreeement that will be used for the transaction.
