    • Trowers & Hamlins

      Aug 2023 - Aug 2023
      Legal Internship

I rotated between Trowers' Finance, Corporate and Real Estate departments to assist on a variety of ongoing and new client work. This included:- Finance: I researched Module 6 of the Central Bank of Bahrain's Rulebook regarding offering securities within the Kingdom and innovated creative ways for offshore issuers to circumvent the CBB's registration requirements. This was used to assist in an informative article encouraging offshore issuers to take advantage of Bahrain's fruitful investment environment, soon to be published on Trowers' website- Islamic Finance: I performed an in-depth review of a Musharakah Agreement alongside its corresponding Management Agreement to identify my client's entitlement to profit and loss-bearing responsibility. Amending extensive indemnification clauses that likened the partnership to a traditional debtor-creditor relationship and inserting warranties allowed my client to protect their business interests whilst maintaining a positive relationship with the contracting party. - Corporate: I researched and analysed Bahrain's Commercial Companies Law 2001 to help devise a restructuring strategy for a local client's establishment of an affiliate branch. - Real Estate: I conducted a high-level review of a UAE client's No Objection Certificate to search for onerous terms and suggested favourable amendments. I also researched the licensing and municipality requirements for another client's incorporation into the Dubai International Financial Centre. - I presented on the commercial risks and opportunities for law firms created by the write-down of AT1 bonds following the merger between UBS and Credit Suisse. This involved evaluating the legality of the Swiss Government's actions and whether pending litigation should be brought on a constitutional or contractual basis. Show less

      Legal Internship

I assisted Baker McKenzie's Banking and Real Estate teams on a variety of matters to better understand the commercial risks and opportunities that exist within these sectors. This included:- Analysing and amending a draft loan facility agreement.- Drafting capacity and enforceability opinions: learning about how to conduct targeted due diligence on a borrower.- Contractual review: evaluated a client's existing contractual obligations under a refinancing agreement to determine potential conflicts with a new lender.- Analysed subletting, change of control and assignment clauses within a commercial lease to flag onerous clauses to my client.- Researched and collated a brief for a roundtable discussion at Cityscape's "The Future of Living" event. This detailed the significance of AI and ESG on Middle Eastern real estate development and how investors could adapt their strategies accordingly. I also investigated how sustainability and tech underlie Saudi Vision 2030 and its giga-projects, sparking my interest in how the law can support MENA's diversification away from oil. Show less
