      Jul 1989 - Dec 2004
      Partner, Corporate Department

At this nationally recognized law firm and successor to Shereff Friedman Hoffman and Goodman, the Firm I joined as an associate and became a partner), I was part of a united group of mentors and colleagues for most of my legal career. Upon election to partnership at Shereff Friedman Hoffman and Goodman and continuing post-merger at Swidler Berlin Shereff Friedman, I was an active member of the management team as well as a fully engaged practitioner in charge of complex corporate law matters for a robust client base. For an extended period, I was assigning partner for the corporate department (all associates in department several years), Chair of the Associate Review Committee, a member of the Nominating Committee, and part of the Recruiting Committee. My matters included public and private companies (Horn and Hardart’s sale of the Bojangles chain, among them) and I worked, comfortably, with the most demanding C suite executives. Show less

    • Friedman Kaplan Seiler Adelman & Robbins LLP

      Jan 2008 - Jan 2012
      Partner, Corporate and Securities Group

Given the opportunity to join a highly sophisticated, boutique practice, I moved from Dechert to Friedman, anticipating correctly, that it would allow me to come full circle-- back to a legal practice that emphasized intellect and legal talent in more intimate environment; reminiscent of my cherished years at Shereff. I joined the corporate securities group, leading a variety of deals with a deep bench of experts in all aspects of corporate finance. My practice was closely aligned with the firm’s longtime strength in representing entrepreneurs and investment funds, so as to optimize supportive expertise and mutual feeding of our respective practices. Our representation of a Special Committee of the Board of Directors of Atlas Pipeline, Partners, LP in its sale of interest Laurel Mountain joint venture to Atlas Energy was representative of our special abilities to provide legal advice with a keen understanding of the business to bring added value to the client. • Paine Schwartz Partners

      Feb 2012 - Dec 2019
      COO & General Counsel

As COO and general counsel, I was responsible not only for the operations of the firm but also for problem-solving with creative and pragmatic solutions. With this mindset, I created and implemented a compliance system firm wide which meets SEC requirements and is easily accessed and utilized by all employees. I also completely restructured Paine's IT system and personnel, suggested and led our move into the cloud and updated our systems resulting in a much more efficient operation. Among the many interesting matters, that I have overseen as a lawyer, at Paine, was a $1.4 billion private equity fund focused solely on food and agribusiness. As general counsel, I oversaw the deal on multiple fronts; supervised our outside counsel, advised our Chairman and CEO on all business decisions and coordinated all aspects of the transaction. Additionally, the Firm looked to me to develop and execute on special projects. They have included among others, redesigning our company's review system for evaluating all personnel including executives, managing the company's name change, and implementing a CRM for our company.
