      Fengwen served at American Standard/Trane International/Ingersoll Rand, as Vice President and General Counsel for Asia Pacific, responsible for the company’s overall legal and compliance strategies and executing supports for Corporate and all business sectors (Bath & Kitchen, WABCO Vehicle businesses, Trane air conditioning, Climate Solutions, Industrial Equipment) in ~20 countries in the Region, established and restructured ~ 30 JVs and WFOEs; handled ~ 30 M&As (including legal support for the global spin off WABCO business, the global sale of Bath & Kitchen business, and then the global merger of Trane International with Ingersoll Rand); numerous commercial transactions; purchased land and constructed 2 large comprehensive manufacturing sites in Taichang and Wujiang of Jiangsu province; and structured and negotiated a very complicated government expropriation and relocation project and related employee settlements in Jiading, Zhejiang province; resolved the company’s numerous daily operations issues and dispute resolutions including a very complicated compliance investigations and arbitration and litigations; legal training and risk management; and handled all legal matters for a public listed company in Hong Kong and subsequently de-listed from Hong Kong Stock Exchange.       In this position, Fengwen leads ABB China and AMEA Legal team in providing legal strategies and execution support for all ABB’s business divisions and Corporate in the region, major accomplishments include:• M&As and company restructuring of ~ 30 such projects, including in the recent 2 years:o ABB’s acquisition of GE Industrial System business (a US$2.6 billion deal globally). o ABB’s global carve out of Power Grids business and demerger of ABB China holding company into 3 holding companies to carve out Power Grids business and separate its remaining Automation businesses.o Demerged a manufacturing JV to reverse carve out its Electrification business from Power Grids business.o Absorption merger of two major JVs with 4 JV partners, and dissolved the merged JV.o Bought out Chinese partners’ equity in several JVs and restructured them into WFOEs.o Lead legal aspect of Xiamen Hub (ABB’s globally largest manufacturing site with $300M investment) in the land purchase, contruction and relocation of 10 entities.• Build, update and harmonize a digital Corporate Governance Portal, significantly strengthened the Corporate Governance.• Legal digitalization: build and improve China and AMEA Legal on-line, Team Space, company chop on-line approval process, external legal fee on-line approval process. • Served as board of director and supervisor for ~20 legal entities of ABB in China. • Act as ABB China Country Privacy Leader in supporting ABB Group’s GDPR compliance.• Lead legal aspect of ABB Ability (Digitization) implementation in China via Microsoft Azure and Huawei Clouds, and migrated all ABB Ability platforms and solutions to China, to comply with the PRC Cybersecurity Law and implementation regulations.• Drive A/R collections, risk reviews and legal training to support the company’s growth and minimize legal risks.• Won 2016 and 2017 Legal Team of the Year Awards from Asia In-house Community.
