I advise pre deal on the financial elements of the SPA such as the contractual pricing mechanisms, consideration true-ups, and warranties. I also provide post deal SPA assistance through the completion accounts, earn-outs and leakage phases and assist with completion consideration disputes, deferred/contingent consideration matters and M&A transactional issues (e.g. warranty claims and leakage reviews) in contentious and non-contentious scenarios, as well as advising parties during the Expert Determination process.
