  'Transaction' is the financial jargon used to define the acquisition, sale or merger of a specific business (unit). As 'Transactions' can be one of the most complex and risky business propositions to undertake, EY Transaction Support helps its clients to make better and more informed decisions by providing financial due diligence services. As a Senior Consultant, I support and manage our due diligence team(s) with rigorous and comprehensive analyses on the financial performance, risks and opportunities of the target company (unit). The ultimate aim is to improve our client's negotiating position and accelerate a smooth transaction with minimal disruption.Key focus areas in a financial due diligence are to (i) understand business trends, sector dynamics and underlying revenue/margin/EBITDA drivers, (ii) assess the financing structure of a target company (debt/equity and working capital needs), (iii) analyse and challenge business plans and forecasts and (iv) determine the cash conversion of EBITDA.M&A projects are typically confidential but overall I have worked on deals in various industries ranging from consumer products and retail (FMCG) to production and service industries (mainly IT businesses) as well as real estate. Clients are equally spread between Private Equity funds and private sector players. I have done several assignments abroad in countries such as Germany, India and the US.Finally, I have also worked on an internal project within EY in New Delhi, India where I worked and travelled for a period of three months. As a secondee, I was responsible to provide theoretical and on-the-job training with regards to Transactions (financial due diligence and M&A) to a team of over 20 financial analysts of the local Indian practice.   Imec is the world-leading R&D and innovation hub in nanoelectronics and digital technologies. As a trusted partner for companies, start-ups and academia, the company pursues its mission towards a sustainable and connected future. On 3 October 2016, iMinds (all-things-software) has merged with imec (all-things-hardware) into one high-tech research and innovation center under the name imec. The business incubation program 'iStart' was rebranded to 'imec.istart'.I pursued a dual role within imec.istart, both as business coach (generic) and financial advisor (expert). I engaged with CEO's of Flemish start-ups in order to understand and finetune their financing needs (amount, timing, use of proceeds). In general, these start-ups are seeking to raise between €50k and €2M. I strengthened the existing eco-system with investors by (i) connecting with business angels, Venture Capital firms and governmental institutions within the Benelux and (ii) organizing fundraisings in a variety of formats for the selected start-ups in our portfolio.Main responsibilities included (i) screening potential start-ups at intake, (ii) enrich the imec.istart program through various initiatives such as workshops and investor events, (iii) representing imec as a minority shareholder in the board of its portfolio companies.Day-to-day activities included (i) mentor, empower and challenge start-up founders in their business strategy and go-to-market approach, (ii) review teasers, investor pitches, business plans and financial models, (iii) advise on cap tables, term sheets and related agreements.   The Frozen Bakery Division (FBD) within Martin Braun Group continues its integration path in 2021, in which it strives for a decentralised and regional approach. Our key markets in frozen bake-off are Benelux, UK, Poland and Germany. My main responsibilities include:- Leading the finance and accounting functions in the Benelux as Finance Director.- Member of the Benelux Leadership team within Diversi Foods Group.- Continue my role as Divisional Controller FBD for all reporting and financial topics.- Single point of contact towards Martin Braun Group (HQ) in Hannover. Show less In March 2018, Diversi Foods was acquired by the German Oetker-Gruppe. This transaction also implied the exit of private equity firm Waterland who joined the group as key shareholder in 2014.As such, Diversi Foods became part of the Martin Braun Group which consolidates all large-scale baking activities within the Oetker-Gruppe. One of its existing subsidiaries is called Wolf ButterBack (Germany) and together with Diversi Foods (Benelux, UK and Poland) they represent the Frozen Bakery Division within Martin Braun. The ranges of both manufacturers complement each other perfectly. Diversi Foods is mainly focused on bread and rolls, Wolf ButterBack on viennoiserie and snacks. By working together, the frozen range of the Martin Braun Group develops into a complete range of high-quality specialties, offering total solutions to the customer.In my role as Group Division Controller I ensure and monitor an effective control environment and provide strategic information and advice to the executive management team. Main responsibilities include reporting, consolidation, costing, budgeting and forecasting, ad-hoc projects and M&A. I also steer and manage a team of local finance professionals in Benelux, UK and Poland. The company responds to the increasing demand for diversity in the bakery product offering. In 2014, Diversi Foods was partly acquired by Waterland private equity who supported the group as a financial partner in her growth across Europe.Main responsibilities included (i) ensuring timely and accurate reporting towards management and the board, (ii) develop KPIs for each business unit in both cost and commercial controlling, (iii) provide financial support for ad hoc projects and (iv) support the integration of add-ons in terms of reporting, cost analysis and budgeting.
