  As a Partner in the firm’s Corporate and Securities practice, I developed a broad range of experience in corporate transactions and business legal issues.I served as lead counsel advising companies on mergers and acquisitions, sales of businesses and other strategic opportunities. I was responsible for resolution of legal issues in specialty areas as part of the transaction process, including tax, environmental, employment, employee benefits and regulatory compliance. I served as Co-Vice Chair of the Mergers & Acquisitions practice.My practice included corporate governance and regulatory compliance. I advised clients on public company reporting and compliance issues under federal and state securities laws, including stock exchange requirements. I also assisted clients in debt and equity securities offerings and represented private equity funds in fund formation and investment advisor regulation. My experience includes working in-house at a public company client responsible for the company’s securities filings and corporate governance compliance. My practice at Thompson Coburn also included:• loan agreements, joint ventures, confidentiality agreements, consulting contracts; • new entity formation, entity selection, LLC operating agreements, shareholder agreements;• executive employment agreements, employee noncompetition agreements; • real estate purchase agreements, easements, and ground leases, serving as outside general counsel for over ten years to a communications tower company;• technology and intellectual property consulting services, including intellectual property licenses, product development agreements and IT consulting agreements.I served on the firm’s Employment Committee, as Vice Chair of the Associates Committee, and on the firm’s Women’s Initiative Steering Committee.
