      ▪ Prepared preliminary objections and legal arguments in urging the court to strike out a claim against a liquidator of a Nigerian Company for non-compliance with a condition precedent. This objection was successful and the case against the liquidator struck out.▪ Conducted the prosecution of a claim, written submissions and oral arguments on behalf a lender for the recovery of about N771 million from a recalcitrant borrower. The court relying on our arguments, granted all the claims sought.▪ Advised receiver-managers and liquidators on legal options available to avoid personal liability and minimizing risks in receivership actions.▪ Developed and formulated legal strategies for all pre and post-judgment steps required to optimize lenders position and maximize loan recoveries.▪ Authored the article "An examination of the scope of the liabilities and indemnity of the receiver/manager under Nigerian law" published in the Gravitas Review of Business and Property Law Journal Show less

      ▪ Advised an investor on the acquisition by private placement of a 60% interest in Notore Chemical Industries Plc, one of Africa's leading fertiliser and agro-allied companies for a reported transaction value of $150 million. Conducted a due diligence review of Notore, drafted and reviewed the escrow agreement, share subscription agreement, disclosure letter and processed competition filing documents. ▪ Advised LH Telecommunication Limited on its acquisition of EMTS (owners of 9mobile) resulting in the issuance of new shares amounting to 95.5% to the investor in a deal valued at ₦146 Billion. Conducted due diligence, reviewed investment, subscription and facility agreements and prepared documents for competition filing. ▪ Supported Cutix Plc, one of Nigeria’s top cable manufacturing public companies on the issue of a ₦3 Billion commercial paper programme. Reviewed mandate letters for professional advisers, prepared the solicitor's opinion, deed of covenant, and issuing, calculating, and paying agency agreement etc. ▪ Successfully defended a dealing member of the Nigerian Exchange Group before (1) the Board of the Nigerian Exchange Group; (2) the Nigerian Stock Exchange Demutualization Claims Review Panel and (3) the Federal High Court in the pioneer securities claim against its entitlement to 6,007,884 demutualized shares of the Nigerian Stock Exchange. Prepared legal arguments resulting in favourable outcomes in all legs of the challenge.▪ Supported a foreign tea and beverage company on its expansion into Nigeria by undertaking a $1m joint venture with a Nigerian based non-alcoholic beverage company. Conducted preliminary legal due diligence on the JV Company to ascertain its suitability for use by the parties as the JV vehicle, and reviewed the JV Agreement to ensure that suitable warranties, representations and indemnities are included in favour of the company. Show less ▪ Provided legal support to CardinalStone Capital Advisers (CCA), a West African private equity fund manager, on a $6 million investment in a Nigerian health care undertaking - AfyA Care as part of the company’s Series A capital raise.
