  A significant focus of my practice is serving as outside general counsel for mid-sized public and private companies providing legal and practical business advice to senior management and boards of directors across a diverse range of industries, including pharmaceutical, insurance, banking, transportation. Subject matter expertise includes customer contracting and procurement matters, intellectual property protection, data privacy and security, strategic planning, regulatory compliance, tax disputes and planning, securities matters, corporate governance, employee benefits and executive compensation, and dispute resolution and litigation management.I have extensive expertise with ERISA and employee benefits and executive compensation, including 409A compliance, severance, employee benefits issues in mergers and acquisitions, and proceedings before governmental agencies (IRS and DOL) concerning benefits and compensation matters.I also have a strong mergers and acquisitions practice with extensive experience in representing and advising public and private companies as well as venture capital and private equity firms in connection with mergers and acquisitions, private placements and divestitures.A rather unique part of my practice is in the transportation field where I have particular expertise in automotive and aviation matters, including vehicle lemon law claims, acquisition and disposition of luxury vehicles, and all aspects of aircraft transactions, including acquisition and disposition of aircraft, aircraft tax planning, FAA compliance, and aircraft charter operations.
