Advise multiple operations departments on various legal issues arising from transactions and other business relationships. Compromise and settle claims and lawsuits, as well as, manage progress and efforts of outside counsel. Serve the interests of a public company in compliance consideration for various project financing arrangements. Report directly to the General Counsel. Accomplishments: Managed contract drafting, negotiation, and implementation for $1.3B capital expenditure program. Ensured vendor compliance to contract terms, including Michigan’s Construction Lien Act.Program included: o Successfully negotiating and drafting a $100M capital equipment purchase contract for a $300M project.o Negotiating, drafting, and managing a $150M construction contract for a $350M project; garnering favorable contract terms for the Company, and working closely with project implementation to resolve issues in a timely manner to avoid possible litigation. Drafted various agreements that have become company benchmarks for Engineering Services, on-site service provider, and general contractors.  Saved company in excess of $5M by negotiating business solutions for potential liability claims. Worked closely with outside counsel on discovery and strategy for various cases including class action, construction, patent defense, and personal injury. Currently serve as Counsel to the Company’s joint venture, Double Eagle Steel Company. Provided legal assistance for various projects, including drafting and completing Disclosure Schedules for Asset Purchase Agreements and DOE loans.
